Marvell Technology, Inc. designs semiconductors for data infrastructure: custom silicon built for a single customer, optical and electrical connectivity components, storage and network controllers, and switches. The company trades on Nasdaq under SEC registration 0001835632, and its fiscal year ends in late January.
Marvell reports as a single reportable segment. The only revenue split it discloses is by end market: Data center, which was 79% of quarterly revenue, and Communications and other, which was 21%.
The core business model is ASIC — designing a dedicated chip for one customer to that customer's specification. The model generates large revenue from a single customer, but requires winning the design again at each product generation.
Three structural events shaped the period. On 14 August 2025 the automotive ethernet business was sold to Infineon Technologies AG for $2.5 billion in cash. On 2 February 2026 the acquisition of Celestial AI, which develops the Photonic Fabric chip-to-chip optical interconnect platform, closed for $3,533.7M. On 10 February 2026 the acquisition of XConn Technologies, which develops PCIe and CXL switching silicon, closed for $469.0M.
Manufacturing is outsourced. The filing explicitly names dependence on TSMC for advanced-node wafers as a risk factor.
Net revenue for the quarter was $2,739.3M, against $2,006.1M in the prior-year quarter — up 36.6% — and against $2,417.8M in the prior quarter, up 13.3%. Revenue was $39.0M above the midpoint of the guidance management issued on 27 May 2026.

The decomposition is arithmetic and exact: the GAAP margin rose 2.7 points year on year. Of that, the decline in acquired-intangible amortisation contributed 3.1 points and the decline in stock-based compensation contributed 0.1 points. The non-GAAP margin fell 0.5 points. 2.7 = 3.1 + 0.1 − 0.5
The amortisation relates to assets acquired in prior transactions and runs off over time. Per company guidance, the amortisation component of gross margin falls to approximately 3.9% next quarter.

Total face value of debt is $4,999.9M, with a carrying value of $4,962.9M. Against cash of $3,932.8M, net debt is $1,030.1M. The maturity schedule contains no repayment until fiscal 2029, when $1,249.9M falls due. A $1.5 billion revolving credit facility stands undrawn and available through 30 June 2030, and the company is in compliance with its covenants. On 15 April 2026 the company issued $1.0 billion of 5.300% notes due 2036, and $500.0M of 2026 notes were repaid in full.

Of $746.2M of non-cash adjustments in the quarter, stock-based compensation is $326.2M — 53.9% of operating cash flow, and acquired-intangible amortisation is a further $214.9M. Days sales outstanding are 74.5 and inventory days 97.5; neither deteriorated, while half-year revenue rose 32.2%.

The data centre share of revenue rose from 74% to 79% over the year. The communications segment contracted 3.0% sequentially.
Marvell reports as a single reportable segment, so the filing contains no profitability split between the two markets.

The filing explicitly qualifies that a substantial majority of shipments to China relate to sales to non-China based customers with factories or contract manufacturing operations located there. The split is by destination of shipment, not by end customer location. Shipments to Asia as a whole were 84% of revenue, against 76% a year earlier.

A single distributor's share rose ten points in one year — from 34% to 44% of revenue. The filing does not explain the change. In addition, four customers represent 72% of gross accounts receivable, against five customers representing 73% a year earlier. None of them is named in any of the documents.
Marvell's position is measurable in the filing in four ways.
The first — research intensity. Research and development spending was $741.1M, or 27.05% of revenue, against 25.87% in the prior-year quarter. That is a very high ratio. It indicates that holding position in this market requires substantial continuing investment.
The second — the ASIC model. Designing a dedicated chip for a single customer creates a deep relationship over the product life cycle, but requires winning the design again at each generation. The filing explicitly lists as a risk factor the possibility that customers "develop their own solutions, vertically integrate which may reduce the need for our products, or acquire fully developed solutions from third parties".
The third — the acquisitions. Two companies were acquired in the first quarter for a combined $4,002.7M. Celestial AI at $3,533.7M, of which $2,394.2M was goodwill (67.8%) and $951.0M acquired intangibles. XConn at $469.0M, of which $394.9M was goodwill (84.2%). The filing states of both that revenue and earnings since the acquisition date were not material. In positioning terms these are technology acquisitions — chip-to-chip optical interconnect and PCIe/CXL switching — not revenue acquisitions.
The fourth, and the most striking in this filing — two major players in the market have placed equity capital in the company.

The Google agreement covers custom silicon attaching to the TPU ecosystem — inference accelerators, storage, network and memory interface controllers, and near-memory compute. Full vesting of the warrant requires $120 billion of cumulative Custom Products revenue, against total company revenue of $9,450.3M over the trailing twelve months.
The warrant was issued after the balance sheet date and is not included in the quarter's diluted share count (921.2 million), nor in management's guidance for the coming quarter (921 million).
The answer sits in the reconciliation table itself, and the difference reconciles to the point. The GAAP margin rose 2.7 points. Over the same period, amortisation of previously acquired intangible assets fell from 8.3% to 5.2% of revenue — 3.1 points. Stock-based compensation in cost of goods contributed a further 0.1 points. Net of both, what remains is a 0.5 point deterioration. Every point of reported improvement — and a little more — is an accounting charge running off.
This is easy to miss, because in both cases the number "improves". But an amortisation charge that runs off is not earnings power created. The cash for those acquisitions left in prior years; what is ending now is only its accounting measurement. Reported earnings per share will rise — without one additional dollar of cash entering the business. And per company guidance, that component falls to approximately 3.9% next quarter, so the process continues.
And yet — and this is precisely where a one-sided reading must be resisted — the filing contains real improvement that this argument does not touch at all. The non-GAAP operating margin expanded from 34.83% to 36.62%. Non-GAAP results exclude acquired-intangible amortisation from the outset, so those 179 basis points cannot be a product of the same run-off. Their source is operating leverage: non-GAAP operating expenses fell from 24.56% to 22.30% of revenue.
That leverage, however, also requires a second look. GAAP operating expenses over the same period rose from 35.92% to 36.36% of revenue. The gap between the two readings is almost entirely one line: stock-based compensation within operating expenses rose from 6.99% to 11.33% of revenue — 4.34 points — and non-GAAP results do not count it. Put differently, the operating leverage is real on one measure and absent on the other, and the difference between them is compensation cost that moved into stock.
Stock-based compensation is in any case the largest single item in this filing. $326.2M in the quarter — 11.91% of revenue, against 7.66% a year earlier. Growth of 112.4% while revenue grew 36.6%, that is 3.1 times the revenue growth rate. The amount exceeds the quarter's GAAP net income ($308.0M), and it is 53.9% of operating cash flow. Anyone treating stock compensation as a genuine economic cost — the conventional approach — arrives at a very different profitability picture from the non-GAAP figure.
A further layer of the reported-versus-normalised gap sits in trailing earnings. On 14 August 2025 the automotive ethernet business was sold to Infineon for $2.5 billion, and a pre-tax gain of $1,830.4M was recorded. That gain sits inside the trailing twelve-month window. It follows that any trailing earnings multiple quoted on Marvell today contains within it a one-time gain on the sale of an asset. That gain will leave the window of its own accord when the third quarter is reported, around December 2026 — at which point the quoted multiple will rise sharply, without anything in the business changing.
Against that, and it matters, Marvell's cash quality is good. Operating cash flow was $605.5M — 1.97 times net income. Days sales outstanding are 74.5 with no deterioration. Inventory actually fell 2.0% while half-year revenue rose 32.2%. Net debt is only $1,030.1M, and there is no repayment due until fiscal 2029. There is no sign of liquidity pressure anywhere.
Above all of it sits the question of structure. Marvell is a company whose equity is mostly goodwill — $13,873.9M out of $18,531.6M, or 74.87%. Tangible equity is $2,311.1M. In the first quarter it paid $4,002.7M for two companies whose revenue the filing itself describes as not material, of which 69.7% was recorded as goodwill. One can read that as buying technology inside a closing window; one can read it as paying a very high price for a promise. The filing does not settle it, and the reader must decide which way they lean.
And the figure hardest to set aside is concentration. A single distributor is 44% of revenue, against 34% a year ago. Together with one direct customer at 16%, two names represent 60% of revenue. Neither is named in any document. Four customers are 72% of receivables. It can be argued — fairly — that a large distributor is a channel behind which sit many customers, not a single buyer. But the filing does not permit that argument to be tested.
